Refer to the announcement made on 12 August 2011 and 23 December 2011 in respect of the Memorandum Of Understanding between Evergreen Plantation Resources Sdn. Bhd. ("EPR" or "the Purchaser"); and Teh Ho Ann, Muhd Faisal Bin Mohd Ariff, Amin Bin Maidu And Seman Bin Buang ("the Vendors") in Jasa Wibawa Sdn. Bhd ("JW")
Further thereto, EFB wishes to announce that EPR has on 15 February 2012, after completion of the due diligence review conducted by EPR on JW, entered into a Share Sale Agreement ("SSA" or "this Agreement") with Vendors (collectively known as "the Parties") for the proposed acquisition ("Proposed Acquisition") by EPR of 3,500,000 ordinary shares ("Sale Shares") in JW representing 100% equity interest in JW for cash consideration of RM37,837,800-00.
