Contents :

- Proposed shareholders' mandate for EFB and its subsidiaries ("EFB Group") to enter into recurrent related party transactions ("RRPTs") from the date of the forthcoming annual general meeting ("AGM") until the conclusion of the next AGM of the company; and

- Proposed shareholders' ratification for RRPTs of a revenue or trading nature which are necessary for the day-to-day operations of the EFB Group entered into by the EFB Group From 10 March 2005 ("Listing Date of EFB") until the date of the forthcoming AGM.

(Hereinafter referred to as the "Proposals")

On 13 April 2006, the Company had submitted an application to Bursa Malaysia Securities Berhad ("Bursa Securities") for an extension of time to obtain the shareholders' mandate for the RRPTs entered into from the Listing Date of EFB until the forthcoming AGM to be held on 15 May 2006.

Bursa Securities had vide its letter dated 14 April 2006, granted its approval in relation to the aforementioned application.

Notwithstanding the above, the Company is required to comply with the disclosure obligations in relation to the RRPTs, as set out in Paragraph 10.09 and Practice Note No. 12/2001 of the Listing Requirements of Bursa Securities.

A circular to seek the shareholders' approval in relation to the aforementioned Proposals will be issued to the shareholders of the Company in due course together with the annual report of EFB.
